1. Agreement to Terms

These Terms and Conditions ("Terms") form a legally binding agreement between you and Corvidae Limited (New Zealand) ("Corvidae", "we", "us", "our") relating to your access to and use of Lernoa (the "Service").

By accessing or using the Service, you agree to these Terms. If you do not agree, you must not use the Service.

2. Description of the Service

Lernoa is an AI study platform. It turns your documents or topics into structured courses, and helps you build, import, and study flashcard decks so you remember what you learn. The Service includes:

• AI-generated courses — chapters, quizzes and a final exam — built from a document you upload or a topic you enter, using credits
• Studying your courses: reading, quizzes, AI chat about the content, and audio narration (free)
• A private library for your uploaded materials (PDF/DOCX), within fair-use limits (free)
• A spaced-repetition study engine that schedules your reviews (free)
• Unlimited manual decks and cards (free)
• Importing from Anki and CSV, and exporting your decks (free)
• Cross-device sync, study modes, stats and streaks (free)
• AI deck generation from a topic, document or highlighted passage, using credits
• An installable web app (PWA) that works on any modern phone

Lernoa is a study tool, not a source of authoritative information. AI-generated courses, quizzes and cards may contain errors. Do not rely on Lernoa for medical, legal, financial, or other professional decisions; verify anything that matters against an authoritative source.

3. User Accounts

3.1 Account Creation

To use the Service you must create an account, using your email and password or a third-party sign-in (Google or Microsoft). You agree to provide accurate information, keep your credentials secure, accept responsibility for activity under your account, and notify us promptly of any unauthorised access.

3.2 Eligibility

You must be at least 16 years old to use the Service. By creating an account, you represent that you meet this age requirement.

4. Credits, Pricing, and Payments

4.1 What's free

The whole study experience is free: reading, quizzing, chatting with and listening to the courses you have built; unlimited manual decks and cards; the spaced-repetition engine; cross-device sync; all study modes; Anki and CSV import and export; stats and streaks. Uploading and reading your own materials is free within fair-use limits, and AI chat about a course or document is free with a daily fair-use cap. New accounts also receive 5 free credits. We reserve the right to modify features, but we commit that unlimited manual decks and the spaced-repetition engine remain free.

4.2 Credits

• Credits pay for AI generation only: 1 credit builds 1 course chapter (a course is 3–8 chapters) or generates 1 deck of up to 25 cards (current rates, shown in the app before you generate if they ever change).
• Credits never expire.
• If a generation fails for a technical reason and returns no usable course or deck, the credits are returned. Systematically abusing this to obtain free generations may be investigated.
• Credits are personal to your account, are not transferable, and have no cash value except as required by law.

4.3 One-off payments — nothing auto-renews

• All prices are in New Zealand dollars and include GST.
• Credit packs are one-off purchases. Nothing you buy from us auto-renews, and we never store a recurring billing authority.
• Payments are processed by Stripe; we do not store your full card details.
• We may change pricing for future purchases at any time; changes never affect credits you already own.

4.4 Refunds

Credits for failed generations are always returned (4.2). For purchase refunds, contact us within 14 days of purchase — if you have used only a small portion of a pack, we will generally refund the purchase. Nothing in these Terms limits your rights under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986.

5. Acceptable Use

You agree NOT to:

• Use automated systems (bots, scrapers) to access the Service or bulk-generate decks
• Create, import, or generate decks that infringe copyright, or that contain unlawful, harmful, or misleading content
• Attempt to reverse engineer, decompile, or extract source code
• Interfere with or disrupt the Service or servers
• Upload malicious code or harmful materials
• Resell, redistribute, or commercialise the Service without authorisation
• Violate any applicable laws or the rights of others

We may investigate suspected misuse and may suspend or terminate access to protect the Service, its users, and our rights.

6. Your Content

6.1 Your decks

You retain all rights to the decks, cards and personal data in your account. You grant us a limited licence to store and process them solely to provide the Service (including syncing, studying, and — at your request — AI generation). This licence ends when you delete your data or account. AI generation prompts are processed per-request and not retained by the AI provider (see our Privacy Policy).

7. AI-Generated Content — Disclaimers

• AI-generated cards are drafts and can contain factual errors, omissions, or outdated information. You can edit every card before or after you study it.
• You are responsible for verifying anything that matters — for study that counts, check cards against your course materials or an authoritative source.

8. Service Availability

The Service is provided "as is" and "as available". We do not guarantee uninterrupted or error-free operation, specific learning outcomes, or compatibility with every device. The Service relies on third-party providers (AWS hosting, AI generation via Amazon Bedrock running Anthropic Claude models, audio narration via Amazon Polly, Stripe payments, Cloudflare Turnstile); we are not responsible for their availability but choose reputable providers with appropriate safeguards.

9. Limitation of Liability

To the fullest extent permitted by law, Corvidae will not be liable for any indirect, incidental, special, or consequential damages; loss of data or profits; or outcomes arising from reliance on AI-generated content. Our total aggregate liability arising out of or in connection with the Service will not exceed the amount you paid us in the 12 months preceding the event giving rise to the claim, or NZD $100 if you have paid nothing in that period.

Nothing in these Terms limits rights you have under New Zealand consumer law (including the Consumer Guarantees Act 1993) or other applicable laws that cannot be excluded.

10. Termination

You may delete your account at any time — one tap in Settings, which also deletes your data. We may suspend or terminate access for violation of these Terms, fraud, or abuse. If we terminate your account other than for cause, we will refund the value of unused credits.

11. Changes to Terms

We may modify these Terms at any time. We will notify users of significant changes via email or through the Service. Your continued use after changes constitutes acceptance. We will never use a terms change to convert a one-off purchase into a recurring one.

12. Governing Law and Disputes

These Terms are governed by the laws of New Zealand. If you have a dispute with us, please contact us first — we genuinely try to fix things. Failing informal resolution, any legal action must be brought in the courts of New Zealand.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.

14. AI Assistant Integrations

You can connect your account to ChatGPT, Claude, or another AI assistant that supports the Model Context Protocol (MCP), through our server at api.lernoa.com/mcp. See our ChatGPT plugin help page and our Privacy Policy for how it works.

• The integration does not sell, offer, or promote credit packs or any other purchase. All purchasing and billing happen only on the Lernoa website and app.
• The integration does not access payment-card details and exposes no checkout tool.
• AI generation tools reached through the integration spend the same credit balance as generating in the app; the integration cannot add credits to your account.
• Content and actions available through the integration are governed by these Terms, including sections 5 (Acceptable Use), 6 (Your Content), and 7 (AI-Generated Content Disclaimers).
• ChatGPT and other third-party AI assistants are operated by their respective providers. Lernoa's integration with them does not imply any endorsement of Lernoa by OpenAI or any other provider, or of them by us.
