The rules for using Lernoa: your account, credits and payments, acceptable use, your content, AI-generated content, availability, liability and termination.
Last updated: October 2026
1. Agreement to Terms
These Terms and Conditions ("Terms") form a legally binding agreement between you and
Corvidae Limited (New Zealand) ("Corvidae", "we", "us", "our")
relating to your access to and use of Lernoa (the "Service").
By accessing or using the Service, you agree to these Terms. If you do not agree, you must
not use the Service.
2. Description of the Service
Lernoa is an AI study platform. It turns your documents or topics into structured courses,
and helps you build, import, and study flashcard decks so you remember what you learn. The
Service includes:
AI-generated courses: chapters, quizzes, a final exam and flashcards, built from a document you upload or a topic you enter; your first full course is free, then credits
Studying your courses: reading, quizzes and listening to narration that exists (free), and AI chat about the content within a daily allowance (free)
Audio narration: the first chapter of every course is narrated free (up to a daily limit); audio for any other chapter costs credits once
A private library for your uploaded documents (PDF/DOCX), within fair-use limits (free)
A spaced-repetition study engine that schedules your reviews (free)
Unlimited manual decks and cards (free)
Importing from Anki and CSV, and exporting your decks (free)
Cross-device sync, study modes, stats and streaks (free)
AI deck generation from a topic, document or highlighted passage; your first complete deck is free, then credits
Certification preparation: a free first course for every certification (in full, with its quizzes and final exam) and, where the certification has an exam simulator, a 10-question sample, with the full course collection, the exam simulator or a bundle of both unlocked once with credits
An installable web app (PWA) that works on any modern phone
Lernoa is a study tool, not a source of authoritative
information. AI-generated courses, quizzes and cards may contain errors. Do not
rely on Lernoa for medical, legal, financial, or other professional decisions; verify
anything that matters against an authoritative source.
3. User Accounts
3.1 Account Creation
To use the Service you must create an account, using your email and password or a
third-party sign-in (Google or Microsoft). You agree to provide accurate information, keep
your credentials secure, accept responsibility for activity under your account, and notify
us promptly of any unauthorised access.
3.2 Eligibility
You must be at least 16 years old to use the Service. By creating an account, you represent
that you meet this age requirement.
3.3 One account per person
Each person may have only one Lernoa account. You may not
create, buy, share or use additional accounts, for example to collect extra free, trial, referral
or sharing-reward credits, to invite yourself, or to get around a limit, a restriction or a
suspension.
If we reasonably believe that one person is using more than one account (for example because the
accounts share a device, network, payment details or invitation links), we may, without prior
notice:
turn off AI features (such as course and deck generation, AI chat and audio narration) on any or all of those accounts;
withhold or remove free, trial, referral and sharing-reward credits obtained through them, and decline further credit purchases on them;
suspend or close the additional accounts.
An account whose AI features are turned off can still sign in, study, and export the decks and
courses it already holds, and you can delete it at any time. Sharing a network with other people
(a household, school or workplace) is not in itself a breach of this rule. If you think we have got
it wrong, contact [email protected] and
we will review it.
4. Credits, Pricing, and Payments
4.1 What's free
Your own learning is free for every account, with or without credits: uploading and importing your own documents,
manual decks and cards, reading, notes and highlights, reviews, the spaced-repetition engine, cross-device sync, all
study modes, Anki and CSV import and export, and stats and streaks. There is no subscription and no time limit on
studying, and an empty wallet or a used-up free allowance never stops you from using your own documents. Uploading and
reading your own documents is free within fair-use limits, and AI chat about a course or document is free within a
daily allowance. Turning your document into an AI course or flashcards uses your free first course and deck, or credits (see 4.2 and
4.6). Every certification has a free first course and, where it has a simulator, a free sample, and the rest is then unlocked with credits (see 4.5). We
reserve the right to modify features, but we commit that unlimited manual decks and the spaced-repetition engine
remain free.
4.2 Credits
Credits pay for AI generation, for audio narration of chapters after a course's first (see 4.6) and for certification unlocks (see 4.5). At the Standard AI quality level, 1 credit builds 1 course chapter; the other quality levels use fewer or more credits per chapter, and the Premium and Frontier levels become available with your first credit purchase. 1 credit generates 1 deck of up to 25 cards. These are the current rates; the app always shows the exact cost before you generate or unlock.
Purchased credits never expire.
Free credits expire. Every free credit we grant from the start date of the new offer (the date this version of the Terms took effect) expires 30 days after it is granted, and any of it still unspent then is removed. This covers credits we grant at our discretion and any reward credits if rewards return (see 4.7).
Credits issued before the start date keep their original terms. Credits granted before the start date keep the terms they were given: starter credits and any referral or sharing-reward credits do not expire, and a signup trial bonus stays valid for 30 days from the date it was added to the account. We may end any free offer at any time; doing so never affects credits already added to an account.
Starter credits. Accounts created from the start date are given 5 free credits when the account is created. Like every other free credit they expire 30 days after they are granted, and any of them still unspent then is removed. Once you verify your account you also get the free first course and deck described in 4.6, which do not use the starter credits.
If a generation or an unlock fails for a technical reason and returns no usable course, deck or access, the credits are returned. Systematically abusing this to obtain free generations may be investigated.
Referral and sharing rewards are paused during our 30-day test of the new offer (see 4.7).
Credits are personal to your account, are not transferable, and have no cash value except as required by law.
4.3 One-off payments: nothing auto-renews
All prices are in New Zealand dollars and include GST.
Credit packs are one-off purchases. Nothing you buy from us auto-renews, and we never store a recurring billing authority.
Payments are processed by Stripe; we do not store your full card details.
We may change pricing for future purchases at any time; changes never affect credits you already own.
Certification unlocks are one-off payments in credits (see 4.5). Nothing renews, and an unlock is not charged again.
4.4 Refunds
Credits for failed generations are always returned (4.2). For purchase refunds, contact us
within 14 days of purchase. If you have used only a small portion of a pack, we will
generally refund the purchase. Nothing in these Terms limits your rights under the Consumer
Guarantees Act 1993 or the Fair Trading Act 1986.
4.5 Certification courses, simulators and bundles
Every certification in the catalogue has a free preview: its full outline, one free first course in full (every
chapter with its quizzes and the final exam) and, where the certification has an exam simulator, a curated
10-question sample with answers and explanations. The
full course collection, the exam simulator (where there is one), or a bundle of both are unlocked with a one-off
payment in credits.
The price in credits, your balance, any shortfall and exactly what the unlock contains are shown before you confirm. Catalogue prices are in credits only; money prices apply only when you buy a credit pack.
An unlock gives lasting access to what it covers: no renewal, and no charge to study it again. Deleting and re-adding the content does not remove your access.
If you already own one part of a certification, the app offers only the other part, at its own price; the bundle is offered when you own neither.
If an unlock fails for a technical reason, the credits are returned.
A certification course from the catalogue can only be accepted through sharing by someone who has unlocked it.
Spending credits on an unlock does not by itself unlock the Premium and Frontier AI quality levels; buying a credit pack does.
Certification content you already had, and simulators you already unlocked, before the start date keep the access they had.
4.6 Free first course and deck, allowances and planning limits
Once you verify your account, your first full AI course and your first complete AI flashcard deck are free. The free course can be built from a topic, from your own document, or as the first course of an AI learning path, and includes every chapter, its quiz, the final exam and the course's flashcards. There is one free course and one free deck per account, up to a size limit the app shows (a longer course or a bigger deck is built with credits and leaves the free one available). Deleting a draft or retrying does not reset them. They are allowances, not credits, and are separate from your credit balance.
Audio narration: the first chapter of every course you build has free audio, up to a daily limit. Audio for any other chapter costs credits once per chapter (the app shows the price and asks before it charges, and the chapter's audio is then yours in any voice); listening to audio that exists is always free, and narration of certification courses is shared and free.
Planning a course before you build it is free but limited. For new requests, an account without credits or a purchase can create one plan and ask for one AI revision, and every account has daily limits on drafts, questions and plans. We also cap total free AI use per day, and may pause the free course, the free deck and free planning when that cap is reached.
AI chat about a course or document is free within a daily allowance. For content you generate or acquire from the start date, the allowance is small and shared across your courses and documents, and answers use only content you can access.
None of these limits stops you from uploading, importing, reading, reviewing or syncing your own documents.
4.7 Rewards and referrals
Rewards for inviting friends and for sharing posts about Lernoa (referral, social and content rewards) are paused
during our 30-day test of the new offer. Claims and referrals made before the pause are honoured on their
original terms. If rewards return, these terms apply:
Rewards are for genuine posts from real, active accounts. Every claim is reviewed. We may decline or revoke a reward when an account looks fake, new, inactive or without a real audience, or when a post looks made only to collect credits. Our decision is final.
A post made in exchange for credits must say so, for example "I get Lernoa credits for sharing this". We do not approve a post that leaves this out.
Posts must be public and mention Lernoa.
A referral reward is paid to both people when the friend you invited makes their first credit-pack purchase, and it is withdrawn if that purchase is refunded.
Reward credits expire 30 days after they are granted.
Inviting yourself, or collecting rewards through additional accounts (see 3.3), does not count, and we may withhold or remove them.
5. Acceptable Use
You agree NOT to:
Create or use more than one account per person, or use accounts to obtain extra free, trial, referral or reward credits (see 3.3)
Use automated systems (bots, scrapers) to access the Service or bulk-generate decks
Create, import, or generate decks that infringe copyright, or that contain unlawful, harmful, or misleading content
Attempt to reverse engineer, decompile, or extract source code
Interfere with or disrupt the Service or servers
Upload malicious code or harmful materials
Resell, redistribute, or commercialise the Service without authorisation
Violate any applicable laws or the rights of others
We may investigate suspected misuse and may suspend or terminate access to protect the
Service, its users, and our rights.
6. Your Content
6.1 Your decks
You retain all rights to the decks, cards and personal data in your account. You grant us a
limited licence to store and process them solely to provide the Service (including syncing,
studying, and, at your request, AI generation). This licence ends when you delete your
data or account. AI generation prompts are processed per-request and not retained by the AI
provider (see our Privacy Policy).
7. AI-Generated Content: Disclaimers
AI-generated cards are drafts and can contain factual errors, omissions, or outdated information. You can edit every card before or after you study it.
You are responsible for verifying anything that matters. For study that counts, check cards against your course materials or an authoritative source.
8. Service Availability
The Service is provided "as is" and "as available". We do not guarantee uninterrupted or
error-free operation, specific learning outcomes, or compatibility with every device. The
Service relies on third-party providers (AWS hosting, AI generation via Amazon Bedrock
running AI models from Anthropic, Amazon and OpenAI, reading scanned documents via Amazon Textract, audio narration via Amazon Polly, Stripe payments,
Cloudflare Turnstile); we are not
responsible for their availability but choose reputable providers with appropriate
safeguards.
9. Limitation of Liability
To the fullest extent permitted by law, Corvidae will not be liable for any indirect,
incidental, special, or consequential damages; loss of data or profits; or outcomes arising
from reliance on AI-generated content. Our total aggregate liability arising out of or in
connection with the Service will not exceed the amount you paid us in the 12 months
preceding the event giving rise to the claim, or NZD $100 if you have paid nothing in that
period.
Nothing in these Terms limits rights you have under New Zealand consumer law (including the
Consumer Guarantees Act 1993) or other applicable laws that cannot be excluded.
10. Termination
You may delete your account at any time, one tap in Settings, which also deletes your
data. We may suspend or terminate access, or turn off particular features such as AI generation,
for violation of these Terms (including section 3.3), fraud, or abuse. If we terminate your account
other than for cause, we will refund the value of unused credits.
11. Changes to Terms
We may modify these Terms at any time. We will notify users of significant changes via
email or through the Service. Your continued use after changes constitutes acceptance. We
will never use a terms change to convert a one-off purchase into a recurring one.
12. Governing Law and Disputes
These Terms are governed by the laws of New Zealand. If you have a dispute with us, please
contact us first. We genuinely try to fix things. Failing informal resolution, any legal
action must be brought in the courts of New Zealand.
13. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions
remain in full force and effect.
14. AI Assistant Integrations
You can connect your account to ChatGPT, Claude, or another AI assistant that supports the
Model Context Protocol (MCP), through our server at
https://mcp.lernoa.com. See our
ChatGPT plugin help page and our
Privacy Policy for how it works.
The integration does not sell, offer, or promote credit packs or any other purchase. All purchasing and billing happen only on the Lernoa website and app.
The integration does not access payment-card details and exposes no checkout tool.
AI generation tools reached through the integration spend the same credit balance as generating in the app; the integration cannot add credits to your account.
Content and actions available through the integration are governed by these Terms, including sections 5 (Acceptable Use), 6 (Your Content), and 7 (AI-Generated Content Disclaimers).
ChatGPT and other third-party AI assistants are operated by their respective providers. Lernoa's integration with them does not imply any endorsement of Lernoa by OpenAI or any other provider, or of them by us.
